These Terms & Conditions ("Terms") govern your access to and use of Driveline (the "Service"), a web and mobile application operated by Driveline USA LLC("Driveline", "we", "us", or "our"), a limited liability company organized in the State of Colorado, United States. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Driveline helps drivers track their vehicles, evaluate dealership deals, run pre-purchase checks on used cars, ask an AI mechanic questions, and pull vehicle history reports. Features available to you depend on the plan you are on (Free, Pro, or Shopper Pass) and any à la carte credits you purchase.

2. Eligibility & Account

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and keep it up to date.

4. AI Features & Disclaimer

Driveline uses generative AI to answer mechanical questions, analyze dealership deal sheets, and summarize vehicle information. You are responsible for your prompts, how you use the outputs, verifying accuracy before acting on them, and for having the rights to any content you upload (photos, documents, deal sheets, VINs).

AI outputs may be inaccurate, incomplete, or out of date. Driveline is not a substitute for a licensed mechanic, dealer, attorney, accountant, or financial advisor. Do not rely on Driveline for safety-critical repairs or for regulated professional advice without independent verification by a qualified professional. We do not guarantee any specific price, fee, financing outcome, or repair result.

We may filter, remove, or refuse to generate outputs that violate our acceptable use rules or applicable law, and may restrict or suspend accounts that repeatedly submit infringing, abusive, or unsafe content. If you believe content on the Service infringes your rights, email us at support@drivelineusa.com with details and we will review and act as appropriate; repeat infringers may be terminated.

5. Vehicle History Reports & Third-Party Data

VIN history reports, market pricing, recalls, and similar data are provided by third-party data providers and public sources. We pass this data through as we receive it and do not guarantee its completeness or accuracy. Do not use these reports as your sole basis for purchasing a vehicle.

6. Your Content

You retain ownership of content you upload (vehicle photos, deal sheets, notes, documents). You grant Driveline a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display that content solely to operate and improve the Service for you. You represent that you have the rights to submit that content.

7. Intellectual Property

Driveline and all software, documentation, branding, and content that make up the Service are owned by Driveline USA LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with your plan and these Terms. All rights not expressly granted are reserved.

8. Plans, Payments, and Billing

Driveline offers a free tier, paid subscriptions (Pro, monthly or yearly), a one-time 14-day Shopper Pass, and à la carte purchases (VIN reports, AI credit packs). Prices are displayed on the Pricing page in US Dollars.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing frequency, taxes, subscription renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically until cancelled through your account or through Paddle at paddle.net.

9. Free Plan & Usage Limits

The Free plan is offered at no charge with limits on vehicles, AI messages, and pre-purchase checks (see the Pricing page). We may adjust these limits, or the availability of the Free plan, at any time.

10. Suspension & Termination

We may suspend or terminate your access, immediately and without prior notice, for: material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time by cancelling your subscription and closing your account. On termination, your right to use the Service ends. We may retain or delete your data as described in our Privacy Notice.

11. Service Level & Warranty Disclaimer

The Service is provided "as is" and "as available". We do not guarantee that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected. To the fullest extent permitted by law, Driveline disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, Driveline's aggregate liability arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid to Paddle for the Service in the 12 months before the event giving rise to the claim, or (b) USD $100. In no event will Driveline be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, even if advised of the possibility. Nothing in these Terms limits liability that cannot be limited under applicable law (including for fraud, death, or personal injury caused by negligence).

13. Indemnification

You agree to defend, indemnify, and hold harmless Driveline USA LLC, its members, officers, and employees from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of or related to (a) your content, (b) your use of the Service in violation of these Terms, or (c) your violation of any law or third-party right.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws principles. You and Driveline agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Colorado, and you consent to personal jurisdiction there.

15. Changes to the Service or Terms

We may modify the Service or these Terms at any time. Material changes will be communicated by updating the Effective date above and, where appropriate, by in-app notice or email. Continued use of the Service after changes take effect constitutes acceptance.

16. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

17. Force Majeure

Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network or power failures, or third-party provider outages.
